Codework Limited Terms and Conditions

General
1. We do business only under these Terms and Conditions of sale. Exceptions are only granted where written approval has been authorised by representative of Codework Limited.

Prices and Payment
2. Our advertised prices do not include VAT and delivery. Unless you have been issued with a quotation with a valid date, please confirm the price before you order.
3. We accept payment by bank transfer, cheque, credit or debit card or cash. Credit card and debit card payments are taken at the point of customer order not on dispatch of goods.  We can accept payment in Pounds Sterling, Euro and US Dollars. Your order must be in the same currency of quotation.
4. Unless agreed beforehand in writing, goods bought on credit must be paid for by 28 days from our delivery date. 
5. All Orders must have a valid PO.
6. Under the Late Payment of Commercial Debts Regulations 2002, we can exercise our statutory right to charge interest and an administration charge on all invoices overdue.

Delivery
7. In the event of delivery not being possible within 7 days working of receiving the order, we will undertake to keep you informed of any changes and give you the option to cancel the order and receive full refund of monies paid.

Cancellation / Returns
8. We offer a refund/cancellation for all software license orders within 28 days of delivery.   Returns must be authorised by a Codework employee in writing. You will be issued an RMA number assigned to each return. 
We cannot accept unauthorised returns which do not have an RMA assigned by Codework Limited.

Guarantee and Liability
9. You get the benefit of the manufacturer’s warranty in respect of all the goods we sell. Please note that we do not provide any warranties ourselves in respect of the goods and we exclude any warranties express or implied by statute, common law or of any other kind.
10. We are distributors to business customers and as permitted under the Unfair Contract Terms Act 1977 we exclude liability for claims regarding the quality or fitness for purpose of goods or otherwise which consumers can make under the Sale of Goods Act 1979. We are liable for death or personal injury caused by our negligence. We do not accept any liability for indirect or consequential losses or loss of profits.

Gifts
11. We sometimes offer promotional free gifts. Please let us know if you do not want to receive them.

Telephone Calls
12. We sometimes monitor or record telephone calls for training purposes.

Suspension and Termination
14. Codework Limited may suspend the provision of the services or terminate them immediately (without liability to the Customer) if any of the following events happen:
• the Customer fails to make any payment due to Codework Limited by the time it is due
• the Customer has given any false or misleading information to Codework Limited
• the Customer is insolvent
• the Customer is in material breach of this Agreement

Limitation of Liability
15. Codework Limited’s liability to the Customer for death or personal injury caused by its own negligence or that of its employees, agents or sub-contractors is unlimited.
16. Codework Limited’s liability to the Customer in respect of damage to tangible property resulting from its negligence or that of its employees, agents or sub-contractors is up to a maximum of £1,000,000 in respect of any one event or series of connected events arising from its performance or non-performance of the services or additional services.
17. Codework Limited accepts no liability for consequential or indirect loss or damage, corruption of data, loss of profits, revenue, business or goodwill or anticipated savings.

Matters beyond Codework Limited’s Reasonable Control
18. Codework Limited will not be liable for any delay in performing or failure to perform the services or additional services if such delay or failure is caused by circumstances beyond Codework Limited reasonable control.
